Teacher Terms

For clarity and ease of reference, any capitalized terms used in these terms and conditions shall be defined in the glossary. You may consult the glossary section of this agreement to find the detailed definitions of such terms.

If you do not accept these Teacher Terms in full, you are not authorized to teach on the Univext Platform and you are not eligible to receive any benefits from Univext for any Teaching Services you provide.

These Teacher Terms are designed to encourage the highest standards of Teacher behavior in their relationships with Students by setting clear expectations, and to provide the principles to guide Teachers in their daily conduct when providing Teaching Services and interacting with Students. However, our Teachers come from all over the world and are thus accustomed to a variety of different cultural norms. As a result, this Teacher Terms attempts to adopt universally accepted standards of respect and tolerance. This Teacher Terms does not attempt to address every potential situation that could arise when Teachers interact with Students on the Univext Platform, but instead provides principles for ethical and professional behavior that can serve as guidance regarding Univext expectations.

Teaching Services

As a Teacher, Univext offers you the right to use the Univext Platform to share your Teaching Services with our vibrant community of Students and earn money doing it. Univext makes it easy to connect with Students and gives you control on how you teach - set your availability, manage your Bookings and use your teaching material.

Contracting with Students

When you receive a Booking through the Univext Platform, you are responsible for delivering your Teaching Services under the Terms specified on Univext. You must not provide any supplemental contract to Students as the Terms on Univext fully govern your rights on the Univext Platform.

Independence of Teachers

Your relationship with Univext is that of an independent individual or entity and not an employee, agent, joint venturer, or partner of Univext, except that Univext Payments acts as a payment collection agent as described in the Payments Terms. You will have no authority to make or accept any offers or representations on Univext’s behalf. You will not make any statement, whether on your profile or otherwise, that reasonably would contradict anything in this section. Univext does not direct or control your Teaching Services, but you agree to provide Teaching Services on the Univext Platform whenever it is possible and should avoid using other third-party platforms as the Univext Platform provides you with all the necessary tools for providing your Teaching Services.

Managing Your Bookings

Managing Your Classes

The Univext Platform provides tools that make it easy for you to set up and manage your Classes. You are responsible for keeping your information (including calendar availability) and content (like photos) up-to-date and accurate at all times.

Cancellations and Refunds

To prevent no show and impacting your Earnings, Univext allows Students to cancel a Booking up to twenty-four (12) hours the Booking start time. A Teacher has until the start time of a Booking to be able to cancel it and refund Students who are part of it. In the case a Booking is cancelled, the Student will receive a full refund in Coins of the Booking. It’s at the sole discretion of the Teacher to decide wether or not to cancel the Booking and refund the Student prior to the Booking start time. Past this time, no refund is possible.

Teacher Content

The terms of this section regarding Teacher Content applies to all Teachers providing Teaching Services on the Univext Platform, in addition to the terms of Section 5 (Content) of the Univext Terms.

Teacher Content Ownership

Any image, video, files or any other materials used in your Teaching Services or submitted to the Univext Platform in connection with your Teaching Services constitute Content. As a result, pursuant to this section and Section 5 (Content) of the Univext Terms, you own the copyright to your Teacher Content, and Univext does not claim any ownership rights in any Teacher Content.

Student License to Teacher

You hereby grant each Student who purchases your Teaching Services a right to use, view and copy your Teacher Content that you use in providing your Teaching Services to such Student solely for personal and noncommercial educational purposes. You acknowledge that all of the representations, warranties, license grants and other provisions contained in Section 5 (Content) of the Univext Terms apply to all of your Teacher Content that you submit to the Univext Platform.

Univext License to Teacher Content

In addition to the license you grant to Univext to use, view, copy, modify, distribute, publish and otherwise exploit your Content (including your Teacher Content) pursuant to Section 5 (Content) of the Univext Terms, you hereby grant Univext a license to use your Teacher Content (including your introduction video) and information about your Teaching Services in marketing, advertising and promotion of the Univext Platform in any medium. For the avoidance of doubt, Univext may publish your introduction video to Univext’s official channels in third-party video hosting and streaming services, such as Youtube, Vimeo, Youku. Univext will remove any Teacher introduction videos from our official channels on third-party video hosting and streaming services upon written request from such Teacher sent to Univext customer service. You also grant Univext the right to use your profile name as part of our marketing, advertising and promotion of the Univext Platform.

Taxes

Tax Responsibilities

Teachers shall be solely responsible for determining their applicable tax related duties in connection with the income obtained from their Teaching Services, and shall also be solely responsible for remitting to the relevant authority any applicable taxes that need to be paid. Univext cannot and does not offer tax-related advice to any Users of the Univext Platform. If you are unsure about your tax obligations, you should consult a tax professional for more information.

Tax Information

In certain jurisdictions, Tax regulations may require that we collect and/or report Tax information about you, or withhold Taxes from payouts to you, or both. If you fail to provide us with documentation that we determine to be sufficient to support any such obligation to withhold Taxes from payouts to you, we may withhold payouts up to the amount as required by law, until sufficient documentation is provided. You agree that Univext may issue on your behalf invoices or similar documentation for VAT, GST, consumption or other Taxes for your Teaching Services to facilitate accurate tax reporting by you, our Users, and/or their organizations.

Disclaimer

Univext provides a platform for Teachers to offer their educational services to Students. However, it's important to note that Univext is not responsible for the behavior, actions, content, or quality of the Classes provided by Teachers. Each Teacher on the Univext Platform is an independent entity responsible for their own course content, teaching methods, and interactions with other Students. While we strive to maintain a high standard of educational quality and professionalism, any interactions, experiences, or outcomes resulting from Teacher-User interactions are solely the responsibility of the respective parties involved. Likewise, we recommend that Teachers adhere to ethical and professional teaching practices in alignment with our guidelines. If you have concerns or encounter any issues related to a Teacher's behavior or course content, please don't hesitate to contact our support team. Your feedback helps us ensure a positive learning environment for everyone using Univext.

Violations

Teachers Violations

You are in breach of this Teacher Policy, if you:

fail to deliver any Teacing Services for which payment was accepted;
fail to take reasonable efforts to resolve a dispute with a Student;
create unacceptable levels of Student dissatisfaction; or
violate any Univext Terms or any other Univext Policies.

Univext reserves the right to take any of the following actions at any time and in its sole discretion:

cancel your listed Teacing Services;
limit your Univext Account privileges;
adjust the amount of Coins in your account and/or freeze or suspend your Earnings;
suspend or terminate your Univext Account; or
contact law enforcement or seek legal remedies.

User Violations

In addition to complying with the restrictions regarding improper use of the Univext Platform described, you agree not to, and will not assist, encourage, or enable Students or other Teachers to:

provide or post false, misleading, inaccurate, or plagiarized information on the Univext Platform, including in your Teacher profile, course content, Bookings history and feedback;
fail to establish or maintain your Univext Teacher profile to ensure that it contains complete, accurate, and updated information;
provide your Teacing Services for free or in exchange for positive feedback from Students;
provide your Teacing Services, including offering and providing Teaching Services, to any "fake" Students that uses Univext Account created by yourself or any third party to drive up your Bookings counts;
forge or alter your education background, curriculum vitae, work experience or certificates;
advertise or promote third party learning platforms or services;
encourage or allow Students to work with you outside of the Univext Platform or accept payment outside of the Univext Platform.

If a Student asks you to provide Teacing Services outside of the Univext Platform, please remind the Student that Bookings must be scheduled and paid for through the Univext Platform. You can report the Student or contact Univext customer support.

In the event that you violate the prohibitions set forth in this section, Univext reserves the right to immediately suspend or deactivate your Univext Account. Univext also reserves the right to confiscate any Earnings or Coins (as defined in the Payment Terms), and you may lose access to your account on the Univext Platform. If you believe that others have violated these prohibitions, or if you are not sure whether any specific actions would violate these prohibitions, please contact Univext customer support immediately.
