"Account" represents a User account on the Univext Platform.

"AI Tutor" represents an artificial intelligence-powered language tutoring service, such as Umi, that provides conversational language practice through voice interactions.

"Booking" represents the contractual agreement established between a Student, and a Teacher for the provision of Teaching Services through the Univext Platform.

"Class" represents a Teaching Service provided by a Teacher through the Univext Platform, open to one or more Students, and governed by a formal Booking agreement.

"Coin" represents a unit of the virtual currency used to purchase Teaching Services on the Univext Platform.

"Community Policy" represents the policy that governs your use of the Univext Platform as a User of the Univext Platform.

"Confidential Information" represents any information disclosed by a party to the other party, directly or indirectly, in writing, orally, or by inspection of tangible objects, that the disclosing party designates as "Confidential," "Proprietary," or some similar designation. Confidential Information may include information disclosed by Univext, its affiliates, customers, suppliers, or agents; and information regarding Univext's business or financial affairs, products, services, pricing, technical information, research, inventions, processes, procedures, methods, techniques, or data.

"Content" represents text, graphics, images, music, software, audio, video, information, or other materials that are posted, generated, provided, or otherwise made available through the Univext Platform.

"Coupon" represents a discount code that may be applied to a Booking to reduce the Booking price.

"Credit" represents a lesson credit that a User holds in their Account, which may be used to access Lessons with Umi.

"Disclosing Party" represents a party that discloses Confidential Information to the other party under the Terms of Service.

"Free Trial" represents a free trial period for a Subscription Plan.

"Lesson with Umi" represents a voice conversation session with Umi, the AI language tutor, for the purpose of language learning and practice.

"Lesson with Umi Data" represents all data generated during a Lesson with Umi, including audio recordings, transcripts, conversation context, and lesson metadata.

"Payment Method" represents a payment method that a User may use to pay for a Subscription.

"Payment Services" represents the payment-related services provided to Users by Univext, including the processing of Subscription payments through our third-party payment processor.

"Payment Terms" represents the terms, and conditions governing your use of Univext Payments.

"Personal Data" represents any information relating to an identified or identifiable natural person.

"Personal Data Breach" represents a breach of security leading to the accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to, Personal Data transmitted, stored, or otherwise processed.

"Receiving Party" represents a party that receives Confidential Information from the other party under the Terms of Service.

"Student" represents a User who uses Teaching Services via the Univext Platform.

"Subject" represents a topic or subject that a Teacher may offer Teaching Services for.

"Subscriber" represents a User who has subscribed to a Subscription.

"Subscription" represents a recurring payment made by a User on the Univext Platform.

"Subscription Perk" represents a benefit that a Subscriber receives from having an active Subscription.

"Subscription Plan" represents a plan that a User may subscribe to.

"Subscription Price" represents the price of a Subscription.

"Subscription Terms" represents the terms, and conditions governing your use of Subscriptions.

"Teacher" represents a User who provides Teaching Service via the Univext Platform.

"Teacher Terms" represents the terms, and conditions governing your use of the Univext Platform as a Teacher.

"Teaching Services" represents the services provided by Teachers via the Univext Platform.

"Terms of Service" represents the binding legal agreement between you, and Univext that govern your right to use the websites, applications, and other offerings from the Univext Platform.

"Ultra" represents a Univext Subscription that provides access to Lessons with Umi, our AI language tutor.

"Umi" represents Univext's AI-powered language tutor, an artificial intelligence conversational agent designed to provide personalized language learning through real-time voice conversations. Umi is not a human being.

"Umi Memory" represents the personalization system that enables Umi to remember information about a User across Lessons with Umi, including learning progress, topics discussed, corrections made, and user preferences, for the purpose of providing a continuous and personalized learning experience.

"Univext", "we", "us", or "our" refers to the Univext entity.

"Univext Content" represents all Content that Univext makes available through the Univext Platform, including any Content licensed from a third party, but excluding User Content.

"Univext Payments" represents the payment-related functionality of the Univext Platform, governed by the Payment Terms.

"Univext Platform" represents the websites, applications, and other offerings from Univext.

"Univext Products", or "Univext Services" represents all products, and services provided by Univext to Users, including, but not limited to, the Univext Platform, Teaching Services, and Umi AI tutoring.

"Univext Trademarks" represents all names, marks, brands, logos, designs, trade dress, slogans and other designations Univext uses in connection with its products, and services.

"User" represents a person who completes Univext's account registration process, including, but not limited to Teachers, and Students.

"User Content" represents all Content that a User posts, uploads, publishes, submits, transmits, or includes in their User profile or Univext promotional campaign to be made available through the Univext Platform, including audio recordings and transcripts from Lessons with Umi.

"Visitor" represents a person who visits the Univext Platform without registering an account.
