Terms of Service

These Terms of Service ("Terms") are a binding legal agreement between you and Univext that govern your right to use the websites, applications, and other offerings from Univext (collectively, the "Univext Platform"). When used in these Terms, "Univext," "we," "us," or "our" refers to the Univext entity.
The Univext Platform offers an online venue that enables users ("Members") to connect, build communities, learn and/or teach online. Members who propose teaching services are "Teachers" and Members who search for, book, or use services are "Students." Teachers may offer classes ("Classes") for one or multiple subjects ("Subjects") and a variety of other teaching services (collectively, "Teaching Services"). You must register an account to access and use many features of the Univext Platform, and must keep your account information accurate. As the provider of the Univext Platform, Univext does not own, control, offer or manage any Teaching Services. Univext is not a party to the contracts entered into directly between Teachers and Students. Univext is not acting as an agent in any capacity for any Member, except as specified in the Payments Terms of Service ("Payment Terms").
We maintain other terms and policies that supplement these Terms like our Privacy Policy, which describes our collection and use of personal data, and our Payments Terms, which govern any payment services provided to Members by the Univext payment entities (collectively, "Univext Payments").
If you are a Teacher, you are responsible for understanding and complying with all laws, rules, regulations and contracts with third parties that apply to your Teaching Services.

Your Account

Registering an Account

Your Univext Account is for personal and non-commercial use only. To create an Univext Account, you must be eligible to use the Univext Platform for which you are registering, be a resident of a country where use of the Univext Platform is permitted. You may not impersonate someone else, provide an email address other than your own or create multiple Univext Accounts. You must provide accurate, current, and complete information during registration and keep your account information up-to-date. You may not register more than one account or transfer your account to someone else.

Maintaining your Account

You are responsible for maintaining the confidentiality and security of your account credentials and may not disclose your credentials to any third party. You are responsible and liable for activities conducted through your account and must immediately notify us if you suspect that your credentials have been lost, stolen, or your account is otherwise compromised. If and as permitted by applicable law, we may, but have no obligation to (i) ask you to provide identification or other information, (ii) undertake checks designed to help verify your identity or background, (iii) screen you against third-party databases or other sources and request reports from service providers, and (iv) obtain reports from public records of criminal convictions or sex offender registrations or their local equivalents.

Memberships

Membership plans

Univext may propose different Membership plans with different conditions and limitations ("Membership Perks"), which will be disclosed on Univext. Specific details of your Memberships and Membership Perks will be accessible in your personal account.

Payments Methods

Members may subscribe to a Membership (collectively, "Memberships") to gain access to Membership Perks. A Member can subscribe to a Membership by adding one or more Payment Methods ("Payment Methods") which are a current, valid and accepted method of payment, which may be updated, and which we can use for charging you for a Membership. Unless your Membership is cancelled before your billing date, you authorize us to charge your Payment Method for the Membership fees for the next billing cycle of your Membership.

Coins

Coins ("Coins") may be part of a Membership Perks and are used as a virtual currency on the Univext Platform for Teaching Services. Coins are unique to the Univext Platform and can not and should not be used outside of Univext.

Membership Perks

We reserve the right to add, change, update, remove Membership Perks as well as the Membership fees linked to your Membership at any time. We will inform you of those changes and any update or change will apply no earlier than 30 days following the first notice.

Billing cycle

When signing up for a Membership, you authorize us to charge your Payment Method for the Membership fees and any other charges you may incur in connection with your use of the service, such as taxes and possible transaction fees. A Membership will automatically renew at the renewal date indicated in your personal account until terminated.

Cancellation

A Membership can be cancelled at any time. Your Membership will terminate as soon as it is cancelled and you will lose access to all Membership Perks immediately. To the extent permitted by the applicable law, payments are non-refundable and we do not provide refunds or credits for any partial membership periods or unused services.

Teaching Services

Connecting with Teachers

You can look for Teaching Services by choosing the Subject you want to learn and the Teacher you want to have a Class with. Univext uses algorithms to make sure you connect with Teachers who fit your personal desires and needs.

Bookings

When you confirm a booking, you are agreeing to be deducted Coins ("Coins") from your personal account for any items identified during checkout (collectively, "Price"). When you receive the booking confirmation, a contract for Teaching Services (a "Booking") is formed directly between you and the Teacher. In addition to these Terms, you will be subject to, and responsible for complying with, all terms of the Teaching Services, including without limitation, the cancellation policy and any other rules, standards, policies, or requirements identified on Univext or during checkout that apply to the Teaching Services. It is your responsibility to read and understand these rules, standards, policies, and requirements prior to confirming a Booking.

Use of Coupons

A coupon (collectively, "Coupons") is a code that a Student can enter at checkout to receive a discount on the price of a Class. Coupons are offered by Univext and its affiliates, and may be offered by third parties. Coupons may be subject to additional terms and conditions, which will be made available to you at the time of redemption. Univext reserves the right to change or cancel Coupons at any time.

Cancellations and Refunds

A Student can cancel a Booking up to twenty-four (24) hours prior to the start time of the Booking. If a Booking is cancelled, the amount in Coins the Student paid for the Booking will be fully refunded to the Student's account. Past this time, a Student can not cancel a Booking and will have to contact the Teacher for cancelling it as the Teacher will have until the start of the Booking to take action for the Student. It's at the sole discretion of the Teacher to decide wether or not to cancel the Booking and refund the Student prior to the Booking start time. Past that time, no refund is possible.

Disputes

A Member has two (2) days following the end time of a Booking to open a dispute by contacting Univext. Past that time, no refund can be done and a Teacher will have the right to keep the earnings for the provided Teaching Services. In the event of a disagreement between a Teacher and a Student, Univext encourages the Teacher and Student to communicate directly and attempt to resolve the disagreement. If a Teacher and Student are unable to resolve a disagreement and Univext is asked to mediate, Univext may request that the Teacher and Student both provide communication records regarding the dispute, which should show all key relevant information including the time, date and communication details.
Although Univext will attempt to evaluate the dispute on an impartial basis, Univext will have the authority to resolve the dispute in its sole discretion, and Univext's resolution of the dispute will be final. As a result, Univext shall have the right, in its sole discretion to transfer Coins, offer a refund, reverse a transaction or take any other necessary measure on both the Student's and Teacher's Account to resolve the disagreement.

Content

Content on Univext

Parts of the Univext Platform enable you to provide feedback, text, photos, audio, video, files, information, and other content (collectively, "Content"). By providing Content, in whatever form and through whatever means, you grant Univext a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sub-licensable and transferable license to copy, modify, prepare derivative works of, distribute, publish and otherwise exploit, that Content, without limitation. If Content includes personal information, our Privacy Policy describes how we use that personal information. Where Univext pays for the creation of Content or facilitates its creation, Univext may own that Content, in which case supplemental terms or disclosures will say that. You are solely responsible for all Content that you provide and warrant that you either own it or are authorized to grant us the rights described in these Terms. You are responsible and liable if any of your Content violates or infringes the intellectual property or privacy rights of any third party. Content must comply with these Terms, which prohibit, among other things, discriminatory, obscene, harassing, deceptive, violent, and illegal content. You agree that we may make available services or automated tools to translate Content and that your Content may be translated using such services or tools. Univext does not guarantee the accuracy or quality of translations and Members are responsible for confirming the accuracy of such translations.

Prohibited Content

The following content is not allowed on Univext:
  • Content created solely for the purpose of advertising or other commercial content, including company logos, links, or company names;
  • Spam, unwanted contact, or content that is shared repeatedly in a disruptive manner;
  • Content that endorses or promotes illegal or harmful activity, or that is sexually explicit, violent, graphic, threatening, or harassing;
  • Content that is discriminatory;
  • Attempts to impersonate another person, account, or entity, including a representative of Univext;
  • Content that is illegal or that violates another person's or entity's rights, including intellectual property rights and privacy rights;
  • Content that includes another person's private or confidential information, including content that is sufficient to identify a Member or a person, such as a name, address, phone number, or email address without that person's permission.

Violations

Member Violations

If (i) you breach these Terms, Policies, or our Community Policy, (ii) you violate applicable laws, regulations, or third-party rights, or (iii) Univext believes it is reasonably necessary to protect Univext, its Members, or third parties; Univext may, with or without prior notice:
  • take action on your account;
  • suspend or limit your access to or use of the Univext Platform;
  • suspend or revoke your Teaching Services;
  • remove your Content;
  • cancel your future Bookings.

For minor violations or where otherwise appropriate as Univext determines in its sole discretion, you will be given notice of any intended measure by Univext and an opportunity to resolve the issue.

Content Violations

Univext may remove Content that violates these Terms, Policies, or our Community Policy, or that Univext believes is reasonably necessary to protect Univext, its Members, or third parties. Univext may also remove Content that violates applicable laws, regulations, or third-party rights. Univext may also remove Content that is offensive, obscene, harassing, deceptive, violent, or illegal.

Copyright Violations

If you believe that Content on the Univext Platform infringes copyrights, please notify us in accordance with our Copyright Policy.

Reporting Violations

If you believe that a Member or Content poses an imminent risk of harm to a person or property, you should immediately contact local authorities before contacting Univext. In addition, if you believe that a Member or Content has violated our Community Policy, you should report your concerns to Univext. If you reported an issue to local authorities, Univext may request a copy of that report. Except as required by law, you agree that we are not obligated to take action in response to any report.

Disclaimers and Liabilities

Disclaimer of Warranties

We provide the Univext Platform and all Content “as is” without warranty of any kind and we disclaim all warranties, whether express or implied. For example: (i) we do not endorse or warrant the existence, conduct, performance, safety, quality, legality or suitability of any Member, Teacher, Teaching Service, Class or third party; (ii) we do not warrant the performance or non-interruption of the Univext Platform; and (iii) we do not warrant that verification, identity or background checks conducted on Members (if any) will identify past misconduct or prevent future misconduct. The disclaimers in these Terms apply to the maximum extent permitted by law. If you have statutory rights or warranties we cannot disclaim, the duration of any such statutorily required rights or warranties, will be limited to the maximum extent permitted by law.

Limitations on Liability

Neither Univext (including its affiliates and personnel) nor any other party involved in creating, producing, or delivering the Univext Platform or any Content will be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with (i) these Terms, (ii) the use of or inability to use the Univext Platform or any Content, (iii) any communications, interactions or meetings you may have with someone you interact or meet with through, or as a result of, your use of the Univext Platform, or (iv) booking of a Class, including the provision or use of Teaching Services, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not Univext has been informed of the possibility of such damage, even if a limited remedy set out in these Terms is found to have failed of its essential purpose. The limitations of liability in these Terms apply to the maximum extent permitted by law. If you have statutory rights or warranties we cannot disclaim, the duration of any such statutorily required rights or warranties, will be limited to the maximum extent permitted by law.
These limitations of liability and damages are fundamental elements of the agreement between you and Univext. If applicable law does not allow the limitations of liability set out in these Terms, the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend and hold Univext harmless, including against all costs, liabilities and legal fees, from any claim or demand made by any third party arising out of or relating to (i) your access to or use of the Univext Platform, (ii) your decision to submit postings and accept offers from other Member, (iii) any breach of contract or other claims made by Members with which you conducted business through the Univext Platform, (iv) your violation of these Univext Terms, (v) any products or services purchased or obtained by you in connection with the Univext Platform, (vi) any liability arising from the tax treatment of payments to Teachers, (vii) any negligent or intentional wrongdoing committed by you on or through the Univext Platform, (viii) any infringement by you, or any third party using your Univext Account, of any intellectual property or other right of any person or entity, (ix) your failure to pay or dispute of any fees owed to any Teacher or any other amounts owed to other Members; and/or (x) your failure to satisfy your obligations as a Teacher or to a Teacher. Univext reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Univext and you agree to cooperate with Univext's defense of these claims. You agree not to settle any such matter without the prior written consent of Univext. Univext will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of such claim, action or proceeding.

Ownership

All content made available through Univext Platform is either owned by Univext or Univext's licensors, or is licensed to Univext and Univext's licensors pursuant to Section 5 (Content). As between you and Univext, you own your Content. We own the Univext Content, including but not limited to visual interfaces, interactive features, graphics, design, our compilation of Content, computer code, products, software, aggregate Member review ratings, and all other elements and components of the Univext Platform excluding Content. As between you and Univext, we also own the copyrights, trademarks, service marks, trade name, and other intellectual property rights throughout the world associated with the Univext Content and the Univext Platform, which are protected by copyright, trade dress, patent, trademark laws, and all other applicable intellectual and proprietary rights and laws. Except as expressly and unambiguously provided herein, we do not grant you any express or implied rights, and all rights in and to the Univext Platform and the Univext Content are retained by Univext.

License Grant

Subject to and conditioned on compliance with these Univext Terms, Univext hereby grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, terminatable license to access and use the Univext Platform. Except as expressly set forth in these Univext Terms, you may not modify (including without limitation making derivative works), copy, adapt, reverse engineer, de-compile or otherwise reduce to human perceivable format, distribute, frame, reproduce, republish, download, scrape, display, post, transmit, transfer, license or sublicense, publicly display or sell in any form or by any means, in whole or in part, the Univext Content, other Members' Content and the Univext Platform without Univext's or our licensors' express prior written permission.
The licenses granted to you are conditioned upon your proper conduct and compliance with these Univext Terms at all times, as judged by Univext in Univext's sole discretion. We reserve the right to suspend or deny, in our sole discretion, your access to all or any portion of the Univext Platform.
