These Terms of Service, together with the other terms and policies listed above, constitute the entire agreement between you and Univext LLC. regarding the use of the Univext Platform. Except as expressly provided herein, these Terms of Service supersede any prior agreements or proposals, oral or written, and any other communications between you and Univext LLC. relating to the subject matter herein, including any confidentiality or nondisclosure agreements.

Your Account

Registering an Account

Your Account is intended for personal and non-commercial use only. To create an Account, you must meet the eligibility criteria for using the Univext Platform in your country of residence. You are strictly prohibited from impersonating someone else, providing an email address other than your own, or creating multiple Accounts. During registration, it is essential to furnish accurate, current, and complete information, and you must maintain up-to-date account details. Furthermore, registering more than one account or transferring your account to another individual is strictly prohibited.

Maintaining Account Security

You are solely responsible for safeguarding the confidentiality and security of your account credentials. Under no circumstances should you disclose your credentials to any third party. You bear full responsibility and liability for any activities conducted through your account and must promptly inform us if you suspect any compromise, loss, or theft of your credentials. To the extent permitted by applicable law, we reserve the right, but are not obligated, to perform the following actions: (i) request identification or other information from you, (ii) conduct checks to verify your identity or background, (iii) screen your information against third-party databases or other sources, and request reports from service providers, and (iv) obtain reports from public records of criminal convictions or sex offender registrations or their local equivalents.

Account Suspension

Univext reserves the right to suspend your account in situations where we have reasonable grounds to believe that you have violated these Terms of Service, engaged in fraudulent activities, or posed a risk to the security or integrity of the Univext Platform or its users. During the suspension period, you will be denied access to your account and its associated features. If your account is suspended, we will provide you with an explanation, unless prohibited by law, and take appropriate actions to address the situation. You may contact us for further information or to appeal the account suspension.

Closing Your Account

You retain the right to close your account at any time by contacting us. Upon account closure, you will lose access to your account, along with all associated information and data. However, closing your account with the intention of evading an investigation or avoiding payment of any outstanding amounts owed to Univext is strictly prohibited. Additionally, you may not close your account if you have any pending bookings or outstanding payments to Univext or any other party. You shall remain liable to us for any breaches of these Terms of Service and any obligations incurred prior to the account closure.

Subscription

Subscription Plans and Perks

Univext offers various Subscription Plans, each with distinct Subscription Perks, which will be disclosed on the Univext Platform. Subscription Perks may be subject to change at any time. You have the option to subscribe to a plan with or without a Free Trial. If you choose a Subscription plan with a Free Trial, you must provide a Payment Method. No charges will be applied until the Free Trial period expires. However, if you opt for a Subscription plan without a Free Trial, you will be charged immediately.

Billing Cycle and Payments

Upon subscribing, you authorize us to charge your Payment Method for the Subscription Price and any other related charges, including taxes and possible transaction fees. Your Subscription will automatically renew on the indicated renewal date within your personal account, unless terminated.

Cancellation and Refunds

You have the freedom to cancel your Subscription at any time. Upon cancellation, your Subscription will terminate immediately, and access to all Subscription Perks will be lost. Please note that payments are generally non-refundable, and we do not provide credits or refunds for partial Subscription periods or unused services, subject to applicable law.

Payment Methods and Renewal

To gain access to Subscription Perks, you can subscribe by adding one or more current, valid, and accepted Payment Methods. These Payment Methods may be updated, and we may utilize them for charging you for the Subscription. In the event that your Subscription is not canceled before the billing date, you authorize us to charge your Payment Method for the Subscription Price and any other applicable charges, such as taxes and transaction fees. Subscriptions will automatically renew based on the renewal date specified in your personal account, unless terminated.

Subscription Changes and Notifications

Univext reserves the right to add, modify, update, or remove Subscription Perks and associated Subscription Prices at any time. We will notify you of such changes via email or by posting a notice on the Univext Platform. If you disagree with the changes, you have the option to cancel your Subscription at any time. Failure to cancel your Subscription will be deemed acceptance of the changes. Any updates or changes will become effective no earlier than thirty (30) days following the initial notice.

Teaching Services

Connecting with Teachers

To find suitable Teaching Services, select the desired Subject and Teacher for your Class on the Univext Platform. Our algorithms ensure you connect with Teachers who align with your specific preferences and requirements.

Bookings and Payment

When you confirm a Booking, Coins will be deducted from your personal account as payment for the chosen Teaching Service. The Booking confirmation establishes a direct agreement between you and the Teacher. Apart from these Terms, you must adhere to all Teaching Service terms, including cancellation policies and any additional rules, standards, policies, or requirements outlined on Univext or during checkout. Familiarize yourself with these rules before confirming any Booking.

Use of Coupons

Coupons are codes that Students can apply at checkout to apply discounts a Booking price. Univext and its affiliates, as well as third parties, may offer these Coupons. Specific terms and conditions for each Coupon will be provided at the time of redemption. Univext reserves the right to modify or terminate Coupons at its discretion.

Cancellations and Refunds

Students can cancel a Booking up to twenty-four (12) hours before the scheduled start time. In such cases, the Coins paid for the Booking will be fully refunded to the Student's account. After this time, Students must contact the Teacher for cancellation, as Teachers have until the start of the Booking to take appropriate action. Teachers may choose whether to cancel the Booking and issue a refund to the Student before the Class scheduled start time. Beyond this point, no refunds are possible.

Disputes

If a dispute arises, Users have two (2) days following the end time of the Class to contact Univext and open a dispute. After this period, no refunds will be processed, and Teachers will be entitled to retain their earnings for the provided Teaching Services. Univext encourages direct communication between Teachers and Students to resolve any disagreements. If mediation assistance is required, Univext may request communication records, including timestamps and relevant details.

Univext will strive for an impartial evaluation of the dispute but retains the authority to resolve it at its sole discretion. The resolution provided by Univext will be final. As such, Univext may transfer Coins, issue refunds, reverse transactions, or take necessary actions on both the Student's and Teacher's Account to settle the disagreement.

Content

User Content

Parts of the Univext Platform enable Users to provide various types of content, including feedback, text, photos, audio, video, files, information, and other materials. By providing User Content through any means on the Univext Platform, you grant Univext a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sub-licensable, and transferable license to copy, modify, create derivative works of, distribute, publish, and otherwise exploit the User Content, without limitation. Please note that if User Content contains personal information, the use of such information will be subject to the provisions of our Privacy Policy, which outlines how we handle and protect personal data. In instances where Univext compensates for or facilitates the creation of specific Content, Univext may claim ownership of that Content, subject to additional terms or disclosures.

As a User, you bear full responsibility for all User Content you provide and warrant that you either own the content or possess the necessary authorization to grant Univext the rights specified in these Terms. Consequently, you are accountable and liable for any User Content that violates or infringes the intellectual property or privacy rights of any third party. It is essential to ensure that your Content complies with these Terms, which prohibit, among other things, the submission of discriminatory, obscene, harassing, deceptive, violent, and illegal content. Additionally, Univext may offer services or automated tools to translate User Content, and you acknowledge and agree that your Content may be translated using such services or tools. However, Univext does not guarantee the accuracy or quality of translations, and Users are responsible for verifying the accuracy of such translations.

Univext Content and Copyright

On the Univext Platform, Univext may provide various content, including but not limited to text, graphics, audio, video, logos, designs, trademarks, and other materials. Univext Content is protected by copyright, trademark, and other applicable intellectual property laws and belongs to Univext or its licensors. Users are not permitted to use, copy, reproduce, modify, distribute, or create derivative works of Univext Content unless expressly authorized by Univext or as permitted by applicable law. Unauthorized use of Univext Content may lead to legal consequences.

Prohibited Content

The following types of content are strictly prohibited on Univext:

Content created solely for the purpose of advertising or containing other commercial content, including company logos, links, or names that are unrelated to the Univext Platform's intended use;
Spam, unwanted contact, or content that is repeatedly shared in a disruptive manner;
Content endorsing or promoting illegal or harmful activities, or content that is sexually explicit, violent, graphic, threatening, or harassing;
Discriminatory content that targets individuals or groups based on race, ethnicity, nationality, religion, gender, sexual orientation, or other protected characteristics;
Attempts to impersonate another person, account, or entity, including a representative of Univext;
Content that violates any applicable laws or infringes on another person's or entity's rights, including intellectual property and privacy rights;
Content containing another person's private or confidential information, such as a name, address, phone number, or email address, without the individual's permission.

Univext reserves the right to remove or take appropriate action against any User Content that violates these Terms or is deemed inappropriate, offensive, or harmful to the Univext community or its reputation. Users who encounter such prohibited content are encouraged to report it promptly for review and resolution.

Violations

User Violations

If you, as a User, engage in any of the following actions: (i) Breach these Terms, Policies, or our Community Policy; (ii) Violate applicable laws, regulations, or third-party rights; (iii) Univext believes it is reasonably necessary to protect Univext, its Users, or third parties;

Univext reserves the right, with or without prior notice, to take appropriate actions, which may include:

Taking action on your Account;
Suspending or limiting your access to or use of the Univext Platform;
Suspending or revoking your Teaching Services;
Removing your Content;
Canceling your future Bookings.

In cases of minor violations or where Univext deems it appropriate in its sole discretion, you will be given notice of any intended measures by Univext, along with an opportunity to address and resolve the issue.

Content Violations

Univext maintains the right to remove any Content that violates our Terms, Policies, or that Univext believes is reasonably necessary to protect Univext, its Users, or third parties. Content may also be removed if it violates applicable laws, regulations, or third-party rights. Moreover, Univext may take action to remove Content that is offensive, obscene, harassing, deceptive, violent, or illegal.

Copyright Violations

If you believe that Content on the Univext Platform infringes upon copyrights, please follow the procedures outlined in our Copyright Policy. We take intellectual property rights seriously and will address valid copyright infringement claims in accordance with our policies.

Reporting Violations

Should you become aware of a User or Content posing an imminent risk of harm to a person or property, you are urged to promptly contact local authorities for immediate assistance. In cases of suspected violations of our Community Policy, you should report your concerns to Univext. If you have already reported the issue to local authorities, Univext may request a copy of that report for further evaluation. While Univext takes all reports seriously, please note that we are not obligated to take action in response to every report, except as required by applicable law.

Disclaimers and Liabilities

Disclaimer of Warranties

We provide the Univext Platform and all Content "as is" without any warranty of any kind, and we disclaim all warranties, whether express or implied. For example: (i) We do not endorse or warrant the existence, conduct, performance, safety, quality, legality, or suitability of any User, Teacher, Teaching Service, Class, or third party. (ii) We do not warrant the performance or non-interruption of the Univext Platform. (iii) We do not warrant that verification, identity, or background checks conducted on Users (if any) will identify past misconduct or prevent future misconduct.

The disclaimers in these Terms apply to the maximum extent permitted by law. If you have statutory rights or warranties that we cannot disclaim, the duration of any such statutorily required rights or warranties will be limited to the maximum extent permitted by law.

Limitations on Liability

Neither Univext (including its affiliates and personnel) nor any other party involved in creating, producing, or delivering the Univext Platform or any Content will be liable for any incidental, special, exemplary, or consequential damages, including lost profits, loss of data or goodwill, service interruption, computer damage, or system failure, or the cost of substitute products or services. Additionally, neither Univext nor any party involved will be liable for any damages for personal or bodily injury or emotional distress arising out of or in connection with: (i) These Terms; (ii) The use of or inability to use the Univext Platform or any Content; (iii) Any communications, interactions, or meetings you may have with someone you interact or meet with through, or as a result of, your use of the Univext Platform; (iv) Booking of a Class, including the provision or use of Teaching Services, whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory, and whether or not Univext has been informed of the possibility of such damage, even if a limited remedy set out in these Terms is found to have failed of its essential purpose.

The limitations of liability in these Terms apply to the maximum extent permitted by law. If you have statutory rights or warranties we cannot disclaim, the duration of any such statutorily required rights or warranties will be limited to the maximum extent permitted by law.

These limitations of liability and damages are fundamental elements of the agreement between you and Univext. If applicable law does not allow the limitations of liability set out in these Terms, the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold Univext harmless, including against all costs, liabilities, and legal fees, from any claim or demand made by any third party arising out of or relating to: (i) Your access to or use of the Univext Platform; (ii) Your decision to submit postings and accept offers from other Users; (iii) Any breach of contract or other claims made by Users with whom you conducted business through the Univext Platform; (iv) Your violation of these Univext Terms; (v) Any products or services purchased or obtained by you in connection with the Univext Platform; (vi) Any liability arising from the tax treatment of payments to Teachers; (vii) Any negligent or intentional wrongdoing committed by you on or through the Univext Platform; (viii) Any infringement by you, or any third party using your Account, of any intellectual property or other right of any person or entity; (ix) Your failure to pay or dispute any fees owed to any Teacher or any other amounts owed to other Users; (x) Your failure to satisfy your obligations as a Teacher or to a Teacher.

Univext reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Univext, and you agree to cooperate with Univext's defense of these claims. You agree not to settle any such matter without the prior written consent of Univext. Univext will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of such claim, action, or proceeding.

Ownership

All content made available through the Univext Platform is either owned by Univext or Univext's licensors, or is licensed to Univext and Univext's licensors. As between you and Univext, you own your Content. We own the Univext Content, including but not limited to visual interfaces, interactive features, graphics, design, our compilation of Content, computer code, products, software, aggregate User review ratings, and all other elements and components of the Univext Platform excluding Content. As between you and Univext, we also own the copyrights, trademarks, service marks, trade names, and other intellectual property rights throughout the world associated with the Univext Content and the Univext Platform, which are protected by copyright, trade dress, patent, trademark laws, and all other applicable intellectual and proprietary rights and laws. Except as expressly and unambiguously provided herein, we do not grant you any express or implied rights, and all rights in and to the Univext Platform and the Univext Content are retained by Univext.

License Grant

Subject to and conditioned on compliance with these Univext Terms, Univext hereby grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, terminable license to access and use the Univext Platform. Except as expressly set forth in these Univext Terms, you may not modify (including without limitation making derivative works), copy, adapt, reverse engineer, decompile, or otherwise reduce to human perceivable format, distribute, frame, reproduce, republish, download, scrape, display, post, transmit, transfer, license, or sublicense, publicly display, or sell in any form or by any means, in whole or in part, the Univext Content, other Users' Content, and the Univext Platform without Univext's or our licensors' express prior written permission.

The licenses granted to you are conditioned upon your proper conduct and compliance with these Univext Terms at all times, as judged by Univext in Univext's sole discretion. We reserve the right to suspend or deny, in our sole discretion, your access to all or any portion of the Univext Platform.
